Liquidity Signal

Terms of Service

Draft pending legal review — not yet approved by counsel for any jurisdiction.

  1. Who you are contracting with

Liquidity Signal is operated by Prospekta Global Marketing LLC. These terms form the agreement between that company and the institution that places an order. The individual who places it confirms they have authority to bind that institution; if they do not, they must not proceed.

  2. What a dossier is, and what it is not

A dossier is a research document about one person expected to receive a personal liquidity event inside a stated window of 30 to 180 days. Every claim in it is labelled by evidentiary status — Fact, Reported, Inference or Estimate — and cites a public source you can open. A dossier is a research aid. It is not investment, legal, tax or financial advice, it is not a guarantee that the event will occur, on the stated date or at all, and nothing in it may be treated as a recommendation.

  3. Packages and prices

Four packages are offered: one dossier, five, ten or twenty. The price of each package, the equivalent unit price and the included segmentation dimensions are those shown on the pricing page at the time of purchase, which form part of this agreement. Prices are in US dollars and exclude any taxes or bank charges that apply to you.

  4. Segmentation dimensions

Each dossier is filtered on up to three segmentation dimensions chosen by you and included in the package price. Additional dimensions, up to a documented maximum, are charged per dossier at the rate of the package purchased and are shown in the total before payment. A dimension is only sold where Liquidity Signal has the coverage and methodology to apply it.

  5. Payment in full, in advance

Every package is paid in a single payment for the full contracted amount before any dossier is assigned. There are no instalments, no subscription and no recurring or automatic charges of any kind. Additional segmentation dimensions requested before contracting are included in that same payment; any later extension is a separate order that you must expressly accept.

  6. Exclusivity: each dossier is sold once

Once a dossier is assigned to a client it is withdrawn from the catalogue and is never sold to another client. Exclusivity applies to the substantial economic opportunity the dossier covers, not merely to its title, language, file or presentation: the same opportunity will not be sold again under a different title, filter or format. Where it cannot be determined automatically whether two dossiers cover the same opportunity, the second sale is blocked pending review.

  7. What you may do with a dossier

You receive a licence to use the dossier inside your own institution for your origination, research and client-development purposes, for an unlimited period. You may not resell it, publish it, or redistribute it outside your institution, and it does not transfer the intellectual property of Liquidity Signal in its engine, methodology, formats or underlying data. You remain responsible for your own regulatory obligations in how you use it.

  8. Priority: the first confirmed payment takes the dossier

Where two or more clients would receive the same dossier, it is assigned to whoever first completes a valid, confirmed payment. A reservation during checkout is not a sale and gives no priority. Payment methods confirm at different speeds, and that affects priority: a card confirms immediately, a bank debit or wire confirms when the funds settle.

  9. Stock, production and delivery

If the dossiers you bought are already approved and available, they are delivered to your portal as soon as your payment is confirmed. If only some are available, those are delivered immediately and the remainder are produced against the delivery date of your order. If none is available, production starts against that date and the schedule is communicated to you. Nothing is delivered before passing quality control.

  10. The delivery date

Each order carries a delivery date that is set and accepted when you buy. Units delivered from stock are delivered on payment; units to be produced carry the production term stated at purchase. Liquidity Signal will not unilaterally change a delivery date already contracted.

  11. What counts as delivery

A dossier is delivered when it is available to your authorised users in the client portal in its final format, and the delivery is recorded with its version, recipient and timestamp. If you request changes to the scope of an order after it is placed, any resulting change to the delivery date is agreed in writing before it applies.

  12. If we are late: refund of the undelivered part

If a dossier is not delivered by the contracted delivery date, you are entitled to a refund of the amount corresponding to that undelivered part of the order. Dossiers correctly delivered remain purchased and are not refunded because a later delivery was missed. This is not a penalty, is not converted into credit, and you are never required to spend the amount with us.

  13. How the refund is calculated

The refund uses the effective unit price of the package you bought, not the single-dossier list price, so the volume discount is preserved per unit. Additional segmentation charges paid for undelivered units are refunded in full. The formula is: undelivered units past due × the package unit price, plus charges paid exclusively for those units; previous refunds for the same order are deducted, and taxes, processor adjustments and currency differences are accounted for so nothing is paid twice.

  14. How the refund is paid

Refunds are made to the original payment method where technically possible, and otherwise by a documented secure procedure. A refund is only reported as completed once the payment provider confirms it was executed. A refunded unit is no longer assigned to you as if delivered, and cannot later be delivered as part of the cancelled order without a new agreement.

  15. Cancellation and disputes

Because each dossier is exclusive and withdrawn from sale on assignment, delivered dossiers are not cancellable. Disputes about quality or compliance are raised through the portal or by email, are answered with the evidence record of the dossier concerned, and are resolved under this agreement before any chargeback is initiated.

  16. Sources, confidentiality and privacy

Dossiers are built only from information obtained and processed lawfully from public or licensed sources. Liquidity Signal does not use material non-public information, does not use private-life information, and does not treat a signal as a confirmed fact. Your account data and your order data are confidential, are isolated from other clients, and are handled as described in the privacy notice.

  17. Invoicing, taxes and account administration

An invoice is issued for every order and is available in your portal. Any applicable taxes, withholdings and bank charges are your responsibility unless stated otherwise in the order. You are responsible for the users you authorise on your account and for their use of delivered dossiers.

  18. Changes, governing law and the version you accepted

These terms may change for future orders; the version accepted at the time of your order governs that order, and the version and date you accepted are recorded. This agreement is governed by the law stated in the order form and disputes are submitted to the courts there. Where a translation of these terms differs from the English version, the English version prevails, and no translation changes the commercial conditions, prices or rights set out here.
